Mr Maruf Hasan did bachelor degree in laws (LL.B) in 2009 and enrolled as an Advocate in the Bangladesh Bar Council. He is also a member from the Dhaka Taxes Bar Association. Mr Hasan is a Chartered Certified Accountant and a member of ACCA UK, a global body of the professional accountants, since 2009. He also completed Certified Accounting Technician degree (professional
diploma in accounting) form the UK in 2004.
He becomes the associate member of the Chartered Institute of Arbitrator (CIArb), UK in 2017, a premier institute for Alternative Dispute Resolution in the UK. In addition to his professional qualification, he obtained various training courses on Arbitration, Negotiations, International Trade & Anti-Money Laundering from the renowned organisations notably Bangladesh International Arbitration Centre (BIAC), Bangladesh Foreign Trade Institute (BFTI), and Indian Institute Foreign Trade (IIFT).
He is specialized on contracts used the International Trade. He was the legal advisor for the PPP (Public Private Partnership Office) office, Prime Minister Office of Bangladesh and also served as a Commercial Consultant for the IPFF (Investment Promotion Financing Facilities) Project of Bangladesh Bank. IPFF established to supplement the resources of Bangladesh financial markets to provide term finance, for infrastructure and other investment projects beyond the capacity of local financial institutions; and to promote the role of private sector entrepreneurs in the development of capital projects, especially infrastructure including Power Generation Company.

Future Interest
PPP & Power Sector of Bangladesh
As a consultant and a transaction advisor for the infrastructure projects, Mr Hasan keen to work in the power & energy sectors of Bangladesh. He developed his experience in Power from the grassroots level to setting up a 100mw quick rental power station in Bangladesh in early 2010 when the private
sector just come forward to invest, build and operate Power Plants. Since then he was involve in various aspects in power, notably;
– Negotiations with PDB form pre and post LOI to PPA
– Raising finance from local and foreign source from for the power generation company
– Structure joint venture for between local company and foreign company as a technical partner
– Secure foreign partners return on investment as foreign investor to the Power Sector
– Help to utilized and enjoy all the benefits and facilities allowed by the Govt. for private sector power generation company i.e. Tax Holidays
– Negotiations with the Equipments supplier i.e. Catapiller, EPC Contractors and other suppliers
– Negotiations with the fuel supplier and the local regulator like Bangladesh Bank, Mistry of Commerce and BERC etc.
Based on his experience in power projects and subsequent experience in the UK with potential investor for the PPP / large infrastructure projects last 03 years (2015-18), he will be to focus on;
- Projects on Feasibility Studies either PPP model or Traditional model,
- Power and Energy Efficiency introduction to the power projects,
- Lobby of behalf of the new or existing Power Company on Energy Regulations/Policies,
- Energy Financial Analysis including financial modelling new and forensic review of the existing Financial Model,
- Capacity Building, investment promotion, showcasing before the foreign parts
The private sector power generation company in 2010 were the new entrants in the sector and started their operation without prior experience and skilled workforce as such a good number of power company are now struggling with their financial management where Mr Hasan can mobilize their his expertise to those businesses into turnaround from financial trouble by way of;
- Finance solution by way of re-financing with the local / foreign lender
Introducing foreign private investors to the existing power company fresh and further investment - IPO awareness to mitigate the financial management of the company. Hence there are good number of power company are advised in their license to list in the stock market after few years of operation
- Dispute resolution services for the dispute between PBD Vs Power company, Joint Venture partners specially with foreign counterpart, foreign supplier, foreign lender, local government bodies like NBR for VAT, Customs and Taxes
- Negotiations for suitable trade financing options for fuel procurements
- Awareness on the new Listing of Small Capital Companies) Regulations, 2018 for the small power generation companies up to 50MW
Conclusion:
There are huge gap between financial model prepared the Power Projects in the implementation with the contract between Power Generation Company Vs PDB and with the lender where mismatch with the terms and conditions placed. This situation is more deepen with tax forecasts at the preliminary / financial modelling stage which caused every power companies of Bangladesh are in disputes with the NBR over revenue projection and the expenses claim. This ongoing complexity can be reduce by getting proper consultancy form an experience personal with the power project experience who are well conversant with the concession agreement, PPA, Financial Modelling and the Power Sector Tax Policies. Thus Mr Hasan can be able to addressed under one stop solutions.
